Terms of Service

1. Acceptance of Terms

By accessing or using Trinity Analytics services ("Service"), you ("Customer" or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

Trinity Analytics provides casino analytics software and related services designed to help gaming facilities analyze player data, track performance metrics, and generate business insights ("Service").

3. User Accounts and Registration

3.1 Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized use of your account

3.2 Authorized Users

• Only authorized personnel from your organization may access the Service
• You are responsible for all activities that occur under your account

4. Data Use and Processing

4.1 Customer Data

• You retain ownership of all data you upload to our Service ("Customer Data")
• You grant Trinity Analytics a limited license to process Customer Data solely for the purpose of providing the agreed-upon services
• We may use Customer Data to:
  • Provide analytics and reporting services
  • Maintain and improve the Service
  • Provide customer support
  • Ensure compliance with gaming regulations

4.2 Data Sharing

• We may share Customer Data with our authorized developers, contractors, and service providers solely for the purpose of delivering services to you
• All third parties with access to Customer Data are bound by confidentiality obligations
• We will not sell or license Customer Data to third parties for their own use

4.3 Depersonalized Data

• Trinity Analytics retains the right to depersonalize Customer Data by removing all personally identifiable information
• Depersonalized data may be used for research, product development, benchmarking, and industry analysis
• Depersonalized data may be retained indefinitely for these purposes

4.4 Data Location and Storage

• Customer Data is stored on secure servers located in Canada and/or the United States for U.S. clients
• We implement industry-standard security measures to protect Customer Data

5. Data Security and Liability

5.1 Security Measures

• Trinity Analytics implements reasonable administrative, technical, and physical safeguards to protect Customer Data
• Security measures include but are not limited to: encryption, access controls, monitoring, and regular security assessments

5.2 Limitation of Liability for Security Incidents

• While we implement robust security measures, no system is completely secure
• Trinity Analytics is NOT liable for data breaches or unauthorized access resulting from:
  • Hacking attempts by malicious third parties
  • Cyber attacks beyond our reasonable control
  • Security vulnerabilities in third-party systems or networks
  • Acts of terrorism, war, or force majeure events

5.3 Incident Response

• In the event of a security incident, we will notify affected customers promptly in accordance with applicable laws
• We will cooperate with reasonable investigation and remediation efforts

6. Service Availability and Performance

6.1 Service Level

• We strive to maintain 99.5% uptime for our Service
• Scheduled maintenance windows will be communicated in advance when possible

6.2 Disclaimer

• The Service is provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free operation

7. Payment Terms

7.1 Fees

• Fees are based on the pricing plan selected and number of users
• All fees are in Canadian dollars unless otherwise specified
• Fees are non-refundable except as expressly provided in these Terms

7.2 Payment

• Fees are payable in advance for the selected billing period
• Late payments may result in service suspension
• We may update pricing with 30 days' notice

8. Contract Term and Termination

8.1 Term

• The agreement begins on the date you first access the Service
• The term length depends on your selected subscription plan (monthly, 12-month, or 24-month)

8.2 Termination by Customer

• You may terminate your subscription at any time with written notice
• Termination does not entitle you to a refund of prepaid fees
• Access to the Service will continue until the end of your current billing period

8.3 Termination by Trinity Analytics

• We may terminate your account immediately for:
  • Material breach of these Terms
  • Non-payment of fees after 15 days' written notice
  • Violation of applicable laws or regulations
  • Use of the Service in a manner that poses security risks

8.4 Effect of Termination

• Upon termination, your right to access the Service immediately ceases
• We will provide a reasonable opportunity (up to 30 days) to export your Customer Data
• After the export period, Customer Data may be deleted from our systems
